A Registered Nurse and graduate of Charity Hospital School of Nursing, Bill Borne founded Amedisys in 1982 and has served as Chief Executive Officer and Chairman of the Board since that time. Mr. Borne's leadership has resulted in Amedisys being listed in Inc. Michael "Mike" Snow is the Chief Operating Officer for Amedisys. An accomplished executive with 30 years' experience in health care business operations, Mr. Snow most recently served as President and Chief Executive Officer of Wellmont Health System, an eight-hospital health care system with facilities in Tennessee and Virginia. Mr. Snow's experience includes eight years as President of HCA's Gulf Coast Division, one of the largest operating divisions of HCA with annual revenues in excess of $2 billion and more than 12,000 employees. He has also served as Chief Operating Officer of HealthSouth Corp., the nation's largest provider of rehabilitative healthcare services, and President and CEO of Surgical Care Affiliates, one of the largest providers of ambulatory surgery centers in the country. Mr. Snow is a graduate of the University of Alabama and Troy State University, where he earned a master's degree in business administration. He has served as Chairman of the Texas Hospital Association, Co-Chairman of the Texas Governor's Special Committee on Medicaid Reform and as a board member for Save our ERs, a consortium of hospitals that successfully secured funding for Texas trauma centers. |

Dale Redman is the Chief Financial Officer for Amedisys. He brings more than 34 years of senior level financial experience to the position. Most recently, Mr. Redman served as a Managing Director at Windward Capital Consulting, LLC, where he assisted businesses with capital issues and provided management consulting services in support of companies' growth strategies. Prior to this, Mr. Redman served for 10 years as Executive Vice President and Chief Financial Officer of United Companies Financial Corporation, which was a publicly traded home mortgage and home equity lender based in Baton Rouge, Louisiana. In addition, Mr. Redman is an Adjunct Instructor in Finance at Louisiana State University, where he graduated with a master's degree in accounting. |

Jeffrey Jeter started with Amedisys in 2001 and currently serves as Chief Compliance Officer/Corporate Counsel. Prior to joining Amedisys, Mr. Jeter served as an Assistant Attorney General for the Louisiana Department of Justice where he prosecuted health care fraud and nursing home abuse. He received his Juris Doctorate from Louisiana State University and also holds a master's in public administration degree from Louisiana State University. Additionally, he is a graduate of the prosecutor training course at Northwest University of Chicago. He also has served as an instructor at both the Federal Law Enforcement Training Center and the Louisiana Law Enforcement Commission Officer Training Program. |

Michael Fleming, M.D., joined Amedisys as Chief Medical Officer in 2009. Dr. Fleming brings more than 29 years of medical field experience to his new position. He is past President of the American Academy of Family Physicians and the Louisiana Academy of Family Physicians; and is founding President of the Louisiana Health Care Quality Forum, a partnership with the State of Louisiana aiming to provide high-quality health care to the state. Dr. Fleming has served as Speaker of the Congress of Delegates of the AAFP and as Board Chair of the AAFP Board of Directors. As an active member of the medical quality field, he serves on various boards and panels to the health information technology industry. Additionally, he participates in international activities promoting medical education and primary care worldwide. Dr. Fleming continues his role as founding director, Chairman and Chief Medical Officer for Antidote Education Company, producing continuing education for health care providers. He serves as an assistant clinical professor in the Department of Family Medicine at Louisiana State University Health Science Center and in the Department of Family and Community Medicine at Tulane University Medical School. Dr. Fleming was honored as Louisiana Family Doctor of the Year in 1996. The LSU Health Science Center presented him with the Family Medicine Award upon graduation in 1975; in 2003 the award was renamed, and is now called the Michael O. Fleming Award in Family Medicine. |

T. A. "Tim" Barfield, Jr. is the Chief Development Officer for Amedisys. Most recently, Mr. Barfield served as the Executive Counsel to Louisiana Governor Bobby Jindal, where he provided legal representation to the Governor and his staff, as well as served as an advisor on key policy, strategic, operational and transactional matters. Prior to the appointment, Mr. Barfield served as the Executive Director of the Louisiana Workforce Commission (formerly, the Louisiana Department of Labor) for the Jindal administration. He previously served as President and Chief Operating Officer of The Shaw Group Inc. During his tenure with Shaw, Mr. Barfield also served as President of Shaw Environmental & Infrastructure, Inc., one of the country's largest environmental and infrastructure engineering and construction companies; Senior Vice President of Special Projects overseeing mergers and acquisition and other strategic transactions; and General Counsel. Mr. Barfield also practiced law with Vinson & Elkins LLP concentrating in securities, financing, and mergers and acquisition matters, and served as law clerk for the Honorable Frank J. Polozola, U.S. States District Judge for the Middle District of Louisiana. Mr. Barfield holds a Bachelor of Science degree in Business Administration - Finance from Louisiana State University and a Juris Doctorate from the LSU Law Center.

David Bucey is Senior Vice President, General Counsel and Secretary. Mr. Bucey has more than 24 years of experience as a corporate attorney, and was named a "Georgia Superlawyer" by Law and Politics magazine in 2005. Prior to joining Amedisys, Mr. Bucey served as Senior Counsel of Mergers and Acquisitions with The Coca-Cola Company in Atlanta, Georgia, and as a partner in a major Atlanta law firm. Bucey received his Bachelor of Arts in English from Kenyon College in Gambier, Ohio. He went on to receive his Juris Doctor degree from Washington and Lee University School of Law in Lexington, Virginia. |

| Beth Boulet is the Senior Vice President of Audit for Amedisys. Ms. Boulet joined Amedisys when the Internal Audit Department was established in 2002. Since that time, she has served in Staff Auditor and Audit Supervisor positions. She was responsible for starting and developing the internal audit function at the Company. As the department has evolved, the role of audit in the organization centers around internal control assurance work, risk management and corporate governance. Ms. Boulet has nine years of clinical cardiology experience as a cardiac rehabilitation manager and exercise physiologist. She is a Certified Internal Auditor and a graduate of Louisiana State University (B.S. Physical Education, M.B.A.-Internal Audit Specialization). She also holds a Master of Science in exercise physiology from the University of Louisville in Kentucky. |

| Janet Britt is the Senior Vice President of Billing and Collections. Ms. Britt has more than 20 years of experience and success in streamlining operations, reducing accounts receivable days outstanding, negotiating contracts and improving bottom line results. Prior to joining Amedisys, Ms. Britt served as Vice President of Contracts and Pricing for PharMerica in Tampa, Florida. Before being named VP of Contracts and Pricing, she served in various other roles for PharMerica. Ms. Britt received her Bachelor of Science in accounting from Kansas State University. In addition, she is a member of the American Institute of Certified Public Accountants. |

| Tom Dolan is the Senior Vice President of Finance. Mr. Dolan joined Amedisys in 2005 as Vice President of Corporate Development and was named Vice President of Acquisitions/Finance in 2006. Prior to joining Amedisys, he was employed for more than 10 years with American Airlines, Inc. in Forth Worth, Texas in various management positions including his most recent as Senior Principal of Corporate Finance & Banking in the Treasury Department. Previously, he spent over five years in commercial lending with Comerica Bank in Detroit, Michigan. Mr. Dolan holds both a Bachelor's degree in Business Administration, as well as a Master's degree in Business Administration, with an emphasis in Finance from the University of Michigan in Ann Arbor, Michigan. |

| Scott Ginn is the Senior Vice President and Controller. He brings more than 15 years of public accounting experience to the position. Prior to joining Amedisys, Mr. Ginn served as an Audit Director for the Baton Rouge office of Postlethwaite & Netterville, a Louisiana-based accounting and business advisory firm. He joined Postlethwaite & Netterville in 1991 after working for Ernst & Young in Baton Rouge, and he was admitted as a Director there in 2002. Most recently, Mr. Ginn was the lead Director in the firm's automotive dealership and employee benefit plan accounting and audit practice. Mr. Ginn received his Bachelor of Science in accounting from Louisiana State University. In addition, he is a member of the American Institute of Certified Public Accountants as well as the Louisiana Association of Certified Public Accountants. |

| Pete Hartley is the Senior Vice President of Business Operations Systems , Chief Technology Officer, and has been with Amedisys since 1992. He has developed a number of software systems for the medical industry including an agency management software system with integrated billing for Medicare/Medicaid, and a single entry multi-site, multi-company home health system for Amedisys. In 2007, Mr. Hartley was the recipient of the Amedisys Joffrion Award, which is presented each year to an individual who makes the most significant contribution to Amedisys, for his outstanding work with AMS2 and other software systems. He is also responsible for research and development of emerging technologies and staying current on regulatory and compliance systems for Amedisys in the Healthcare industry. |

| Arthur Hulbert is the Senior Vice President of Development for Special Projects. Mr. Hulbert is responsible for leading new growth initiatives, including the development of potential new business initiatives and retail product lines, from concept to the point of operations. When he joined Amedisys in January 2006, Mr. Hulbert served as Vice President of Arnica Therapy Services, which is a division of Amedisys that provides travel staffing placements for therapists, therapist assistants and registered nurses across the United States. He was promoted to his current role in April 2010. Mr. Hulbert earned his Master of Science degree in physical therapy from the University of Central Arkansas and he received his doctorate in physical therapy from Rocky Mountain University. Before joining Amedisys, he served as President of Hulbert Therapy Services and provided physical, occupational and speech therapy services throughout eastern Oklahoma and western Arkansas. He has also previously served as an instructor at Oklahoma State University.

| Lynn Kohl currently serves as one of two Senior Vice Presidents of Business Development within the home care division. Ms. Kohl began her career in home health care as a field nurse more than 20 years ago and she has held various leadership roles. She joined Amedisys with its first acquisition in 1998, and has held a variety of positions including Clinical Liaison Nurse, Director of Account Managers and most recently, Vice President of Business Development. Within her different roles, she has been instrumental in the growth of the Company. As SVP, Ms. Kohl is responsible for oversight of the technology and educational initiatives essential to the growth and success of the business development team. She received her nursing education from Carlow University and St. Francis General Hospital in Pittsburgh, Pennsylvania.

| Cheryl Lacey is one of two Senior Vice Presidents of Operations of the home care division over multiple states throughout Amedisys' coverage area. Her home health care career began in 1982 as a staff nurse, and she has held many senior management and operational leadership positions since that time. She joined Amedisys with its first acquisition in 1998, and has held positions including Administrator, Regional Administrator and most recently, Vice President of Operations. Ms. Lacey’s current role as SVP holds her responsible for half of the Company’s operational functions and procedures within the home care division. She received her nursing degrees from Southwestern College and St. John’s College, both in Winfield, Kansas. Ms. Lacey has more than 28 years of experience in the industry.

| Francis Mayer is the Senior Vice President of Development, with a focus on innovation. His role is instrumental in executing the Company's goal of tapping into the ideas, innovations and entrepreneurship of all Amedisys employees, including those involving clinical, operational, administrative, acquisition, partnership, quality and other matters. Mr. Mayer has worked at Amedisys since 1997 serving as Director of MSO, Vice President of Business Development, Vice President of Collections and Contracting, and most recently as Senior Vice President of Contracting. He is a graduate of Louisiana State University and obtained a master's degree in healthcare administration from Tulane University. In 2006, Mr. Mayer received the Amedisys Joffrion Award, which is presented each year to an individual who makes the most significant contribution to Amedisys, for his efforts related to the construction of Amedisys' new corporate office.

| Tasha Mears is the Senior Vice President of Clinical Operations and is responsible for quality infrastructure. Ms. Mears first joined Amedisys in 1998 as a Clinical Director. From there, she served as a Regional Administrator, Regional Director of Business Development and Director of Episode Management. In 2006, she pursued other opportunities before returning as Vice President of Quality Management and Analytics, a position which enabled her to play an invaluable role in quality and clinical excellence. Ms. Mears holds two associates degrees and a Bachelor of Science in Nursing. Since 2008, Mrs. Mears has served as the Chair of the Quality Working Group for the Alliance for Home Health Quality and Innovation. In 2009, she was appointed by the Centers for Medicare and Medicaid Services (CMS) as a member of the Technical Expert Panel Project: Care Transition Measure Development; a prestigious panel formed to develop measures used to deliver quality care to Medicare beneficiaries.

John Nugent is the Chief Acquisitions Officer. Mr. Nugent has played an instrumental role in the continued growth for the Company via acquisitions. Prior to joining Amedisys, he was Senior Vice President of Development for AON Health Care Alliance working on various health system engagements throughout the country. Before AON, Mr. Nugent was President/CEO of LAMMICO Practice Management, a managed care and physician practice management company. Previous to LAMMICO, Mr. Nugent was the founder and CEO of Associated Health Services, a regional home health provider in Louisiana, Texas and Oklahoma. He currently serves on the Government Affairs Committee for the National Association of Home Care and Hospice (NAHC), which helps develop legislative and regulatory policy for the home care and hospice industries.

| Cindy Phillips is the Senior Vice President of Governance, Diversity, and Compliance. Ms. Phillips joined Amedisys in 1993 in the Human Resources department as a benefits coordinator. She was promoted to Vice President of Human Resources in 1996 and received her Professional in Human Resources (PHR) certification in 1999. In her role as SVP of Governance, Diversity, and Compliance, she works to ensure that Amedisys applies fair employment practices by not only complying with government regulations, but by creating an atmosphere that promotes engagement and a positive work environment. Prior to working at Amedisys, Ms. Phillips was employed for more than 10 years with Montgomery Ward, in several retail management positions, including Group Merchandiser and Personnel Manager. She received a Bachelor of Psychology degree from the University of Pennsylvania.

| Sy Price is the Senior Vice President of Contracting and is responsible for leading Procurement, Real Estate, Supply Management, Facilities Management and Fleet. He joined Amedisys in 2007 as the Vice President of Procurement and Real Estate, and has been instrumental in driving cost reduction initiatives and implementing best practices in supply chain management. Prior to joining Amedisys, Mr. Price spent 12 years with Intel Corp in procurement and supply chain executive positions. Mr. Price received his bachelor's degree in management and international business from Saint John's University in Minnesota.

| Ric Pritchard is the Senior Vice President of Corporate Growth Strategies for Amedisys. He joined Amedisys in 2002 as Senior Vice President of Business Development and was responsible for implementing initiatives that spurred internal growth during his four year tenure. In 2005, Ric left Amedisys to begin a consulting company, which was retained by Tender Loving Care for strategic growth endeavors. Upon the acquisition of TLC in April 2008, Ric re-joined Amedisys as Vice President of Acquisition Integration. He has since been promoted to his current position as Senior Vice President of Corporate Growth Strategies and is responsible for enhanced internal growth, start-up acceleration and acquisition integration.

| James T. Robinson currently serves as Executive Vice President of Hospice for Amedisys. He is responsible for the growth and overall performance of the Company's hospice organization, overseeing operations and business development functions. Mr. Robinson has more than 20 years of experience in health care innovation and leadership. Prior to joining Amedisys, he served as Senior Vice President of Sales and Marketing for American CareSource Holdings, Inc., a fast-growing, ancillary healthcare management company offering cost-effective care alternatives to physician-office and hospital-based services. From 2006 to 2008, Mr. Robinson served as Executive Vice President and Chief Marketing Officer of VistaCare, Inc. Prior to joining VistaCare, Mr. Robinson was President and CEO of HealthBanks, Inc. Before HealthBanks, he was co-founder of Avicenna Systems Corporation, a venture capital backed e-health physician practice solutions company that was acquired by WebMD. Mr. Robinson has also held a variety of management positions with St. Jude Medical, Inc., Hewlett Packard Medical Systems, and the Xerox Corporation. He earned a Bachelor of Arts from Connecticut College and holds an MBA from Harvard University.

G. Patrick Thompson, Jr. is the Executive Vice President of Administration and Chief Information Officer. He has more than 23 years of experience in streamlining business processes and improving operational efficiencies, most recently as the Executive Vice President and Chief Administration Officer of The Shaw Group, Inc., a Fortune 500 engineering, technology, construction, fabrication, nuclear, environmental and industrial services company. During his tenure with Shaw, Mr. Thompson held the positions of Senior Vice President and Chief Information Officer, Senior Vice President and Chief Administrative Officer, and Executive Vice President and Chief Operating Officer for Shaw Environmental & Infrastructure, Inc., a subsidiary of Shaw Group. Prior to his roles at Shaw, he served as Senior Vice President and Chief Information Officer with Turner Industries. As Executive Vice President of Administration and CIO for Amedisys, Mr. Thompson is responsible for providing oversight and direction related to administrative functions, technology services and strategic planning, as well as providing leadership and support for Amedisys' employees to achieve strategic and operational objectives. He is also responsible for all Information Technology functions within the Company and assists with business integration and administrative synergies. Mr. Thompson was honored with the Top 100 CIO and Computerworld magazine awards. He also serves as the leader of Human Resources for Amedisys and is responsible for strategic initiatives to recruit, hire, develop, motivate, reward, and retain employees. Mr. Thompson earned his bachelor's degree in accounting from Louisiana State University. |

| Patti Waller is the Executive Vice President of the home care division, overseeing operations and business development functions. She joined Amedisys in 1998 in the role of New Business Development for the state of Georgia and was appointed to Senior Vice President of Operations in 1999, a role that held her responsible for the operations of more than 15 states, as well as Puerto Rico. She was appointed to her current role as Executive Vice President in 2009. With Nursing degrees from Crawford Long/Emory School of Nursing and Brenau University in Gainesville, Georgia, Ms. Waller has more than 24 years of experience in the industry. She also serves as Secretary on the Board of Directors for the Georgia Association of Home Health.

| Martha Stuart Williams is the Senior Vice President of Strategic Initiatives. She joined Amedisys in 2005 supporting the CEO on long term strategic initiatives. In 2007, she was promoted to Vice President of Talent Management. Mrs. Williams has more than 10 years of experience in human resource and organizational development. Prior to joining Amedisys in 2005, she was the President at Mercer, Downs, & Co., LLC Consulting. In her current role, Mrs. Williams serves on the executive leadership team and is responsible for the design of the company's strategic plan. She also serves as an adviser to the Chairman and CEO on policy and strategy. Mrs. Williams holds both a master's degree in Public Administration and a master's degree in Human Resource Education and Workforce Development. She is currently completing her doctorate in Human Resource and Leadership Development.

| Troy Yarborough is the Senior Vice President of Business Development. Prior to joining Amedisys, Mr. Yarborough served as Regional Business Director for the Southeast Region for King Pharmaceuticals, Inc. He has more than 12 years of experience in health care and has been awarded multiple internal awards for the companies he has represented. Mr. Yarborough received his Bachelor of Science in biology from Wofford College in Spartanburg, South Carolina.
